General Terms and Conditions

GENERAL

Umbrella Corp Consulting is a sole proprietorship with registered office at 3128 Tremelo, Lange Hoevestraat 10a, Belgium, registered with the Crossroads Bank for Enterprises under number 0544.419.428.

DEFINITIONS

"Client":
Any natural or legal person, including representatives or agents, who enters into or intends to enter into an agreement with Umbrella Corp Consulting.

"Agreement(s)":
All agreements concluded between Umbrella Corp Consulting and the Client to which these Terms apply.

APPLICABILITY

These Terms apply to all services and goods supplied.

Acceptance is automatic upon engagement of services.

These Terms prevail over any Client terms unless explicitly agreed in writing.

SCOPE OF SERVICES

Umbrella Corp Consulting provides consultancy, advisory, coordination, and training services including but not limited to:

  • Travel safety and risk mitigation
  • Emergency response
  • Health and safety
  • Operational planning and advisory

The scope is defined per assignment and may evolve.

NATURE OF SERVICES – NO OPERATIONAL CONTROL

All services are strictly advisory.

Umbrella Corp Consulting:

  • Does not assume operational control
  • Is not a security provider, insurer, or emergency service
  • Does not guarantee safety or outcomes

The Client retains full responsibility for execution and decisions.

TRAVEL & HIGH-RISK DISCLAIMER

The Client acknowledges that travel involves inherent risks including injury, illness, crime, terrorism, instability, and disruption.

Umbrella Corp Consulting:

  • Provides risk mitigation, not risk elimination
  • Is not liable for incidents, third-party actions, or external events

The Client accepts full responsibility for:

  • Personal safety
  • Legal compliance
  • Risk acceptance

MANDATORY INSURANCE REQUIREMENT

The Client is required to maintain adequate insurance coverage, including but not limited to:

  • Travel insurance
  • Medical coverage
  • Liability insurance
  • Evacuation and repatriation coverage (where applicable)

Failure to obtain adequate insurance:

  • Does not create liability for Umbrella Corp Consulting
  • Constitutes acceptance of full personal and financial risk by the Client

OBLIGATIONS

Umbrella Corp Consulting operates under a best-efforts obligation.

It may engage third parties.

Deadlines are indicative only.

CLIENT COOPERATION

The Client must provide complete and accurate information.

Failure to cooperate may result in suspension or termination of services without liability.

FEES – ADVANCES – COMPLAINTS

Fees are determined based on scope and complexity.

Complaints must be submitted within 14 days.

PAYMENT TERMS

Invoices payable within 14 days to:

LATE PAYMENT

Late payment results in:

  • 1.5% monthly interest
  • 10% compensation (min. €60)

Services may be suspended or terminated.

LIABILITY (STRICT LIMITATION)

Liability only exists in cases of gross negligence or intentional misconduct.

Limited to:

  • Invoice amount (excl. VAT)
    OR
  • €7,500 per claim

No liability for:

  • Indirect damages
  • Loss of profit
  • Third-party failures

ADVISORY LIABILITY EXCLUSION

All advice is based on available information.

Umbrella Corp Consulting:

  • Does not guarantee completeness or accuracy in all circumstances
  • Is not responsible for decisions made based on its advice

HOLD HARMLESS & WAIVER OF CLAIMS

The Client agrees to:

  • Indemnify and hold harmless Umbrella Corp Consulting, its representatives, and partners
  • Waive any claims arising from:
    • Risks inherent to travel
    • Third-party actions
    • Implementation of advice

This includes claims for:

  • Injury
  • Financial loss
  • Operational disruption

Except in cases of proven gross negligence or intentional misconduct.

CRISIS RESPONSE & ESCALATION LIMITATION

Umbrella Corp Consulting may provide guidance during emergencies when agreed.

However:

  • It does not act as an emergency response authority
  • It is not responsible for real-time crisis management
  • Response availability is not guaranteed unless explicitly contracted

The Client remains responsible for contacting:

  • Local emergency services
  • Authorities
  • Insurance providers

DIGITAL COMMUNICATION & CYBER RISK

No liability for:

  • Data loss
  • Cyber incidents
  • Electronic communication risks

RETENTION OF TITLE

Ownership remains until full payment.

INTELLECTUAL PROPERTY

All materials remain property of Umbrella Corp Consulting.

FORCE MAJEURE

No liability for force majeure events.

DISPUTE RESOLUTION & INTERNATIONAL ARBITRATION

Parties agree to attempt mediation first.

International disputes may be resolved through:

  • ICC arbitration
  • English language
  • Seat: Belgium

Umbrella Corp Consulting may choose arbitration or court.

JURISDICTION

Belgian law applies.

Courts of Leuven have jurisdiction unless arbitration is used.

MODIFICATIONS

Terms may be updated at any time.

MISCELLANEOUS

Deviations only valid if agreed in writing.
